These Terms of Use (“Terms”) govern your access to and use of the Service. By accessing or using the Service, creating an Account, submitting User Content, or otherwise interacting with Nopely, you agree to these Terms and the Privacy Policy. If you do not agree, do not use the Service.
1. Definitions
- “Nopely” www.nopely.com and the Nopely Service made available through it.
- “Service” www.nopely.com and any Nopely websites, applications, features, tools, content, functionality, and related services.
- “User”, “you”, or “your” any person who accesses or uses the Service. If you use the Service for a business or organization, you represent that you are authorized to act for it.
- “Account” a registered Nopely user account.
- “Review” any complaint, rating, review, comment, opinion, recommendation, or description of an experience submitted through the Service about a Business, product, service, location, or other subject.
- “User Content” any Review, photo, video, audio, profile information, response, message, report, appeal, attachment, or other material submitted through the Service.
- “Business” any business, organization, professional, merchant, brand, product or service provider, or other commercial or professional subject appearing on the Service.
- “Business Profile” a page, listing, profile, or other portion of the Service containing information about a Business.
- “Personal Information” information that identifies, relates to, or can reasonably be linked to an identified or identifiable individual, including equivalent terms under applicable privacy laws.
- “Location Information” a city, area, or other location you provide, approximate location derived from an IP address, or more precise location received from a device or browser with permission.
- “Privacy Policy” Nopely’s then-current Privacy Policy.
2. About Nopely
Nopely is an online review and complaint platform where Users can share and discover opinions and experiences about Businesses, products, services, and locations. Reviews generally reflect the views of the Users who submit them and are not endorsements, guarantees, or statements by Nopely.
Nopely may organize, rank, filter, summarize, translate, label, or otherwise present information to make the Service useful. A Review is not prohibited merely because it is negative, critical, unfavorable, embarrassing, or disputed.
3. Eligibility and Accounts
You must be at least eighteen (18) years old, or the age of legal majority where you live if higher, to create an Account or submit User Content. You agree to provide accurate information, keep Account credentials secure, and promptly notify Nopely if you believe your Account has been compromised. If you use the Service on behalf of a Business or organization, you represent that you have authority to do so.
You may not impersonate another person or Business; create deceptive Accounts; use multiple Accounts, bots, or automation to manipulate Reviews, ratings, rankings, votes, reports, or other Service features; buy or sell Accounts; evade an enforcement action; or otherwise misuse an Account. 4. Honest Reviews and Review Integrity
When you submit a Review, you represent that it reflects a genuine experience, opinion, or belief; you have a reasonable basis for factual statements; you are not knowingly or recklessly publishing materially false information; and you are not using a false identity or fabricating the experience described. You must clearly disclose a material relationship with the subject of a Review when required by law or when that relationship could reasonably affect how readers evaluate the Review.
You may use ordinary spelling, grammar, accessibility, translation, or writing-assistance tools, but you may not use artificial intelligence, bots, scripts, or other technology to fabricate experiences, create fake reviewers, mass-produce deceptive Reviews, impersonate consumers, or manipulate ratings or rankings.
Businesses and other persons may not buy or sell fake Reviews; condition compensation, discounts, refunds, products, services, or benefits on a Review expressing a particular sentiment; procure undisclosed insider Reviews; purchase negative Reviews about competitors; use fake Accounts to praise themselves or criticize competitors; or otherwise manipulate Reviews or ratings.
Nopely does not permit legitimate criticism to be suppressed merely because a Business disagrees with it. No person may use unfounded or groundless legal threats, physical threats, intimidation, harassment, false accusations, or retaliation to prevent, change, or remove a legitimate Review. Businesses may respond to Reviews, seek resolution with a reviewer, report content, and exercise legitimate legal rights in good faith. Businesses may not pay Nopely to remove legitimate negative Reviews or improve a rating by suppressing unfavorable Reviews.
5. Prohibited Content and Conduct
You may not use the Service to post, transmit, encourage, or facilitate User Content or activity that:
- is fraudulent, fabricated, deceptive, materially misleading, or impersonates another person or Business;
- contains credible threats, unlawful harassment, exploitation of minors, child sexual abuse material, or other unlawful content;
- unlawfully reveals highly sensitive Personal Information or infringes copyright, trademark, privacy, publicity, trade secret, or other rights;
- contains malware, phishing, malicious code, spam, or unauthorized commercial solicitation;
- is used primarily for extortion, retaliation, coordinated manipulation, fake engagement, or evasion of enforcement;
- interferes with the security, integrity, or operation of the Service; or otherwise violates applicable law or these Terms.
Nothing in this section prohibits Users from honestly describing negative experiences, criticizing a Business, expressing opinions, reporting suspected misconduct, or discussing matters of legitimate public interest where permitted by law.
6. Public Content and Personal Information
Nopely is a public platform. Do not include information in public User Content that you do not want publicly available, and do not post another person’s financial information, passwords, government identification numbers, private home address, private medical records, precise private location, or other unnecessary highly sensitive Personal Information.
Public User Content may be visible worldwide, indexed by search engines, shared or quoted by third parties, cached, archived, or captured in screenshots. Nopely cannot control copies independently retained by third parties. Where supporting information is needed to verify a Review, Nopely may provide a way to submit it privately.
7. User Content and License
You retain ownership of your User Content. By submitting User Content, you grant Nopely a worldwide, non-exclusive, royalty-free license, with the right to sublicense as reasonably necessary to provide the Service, to host, store, reproduce, display, publish, format, distribute, translate, adapt for technical or presentation purposes, and otherwise use the User Content to operate, improve, protect, promote, and provide the Service.
This includes displaying User Content across devices and versions of the Service, including it in search results, translating or formatting it, creating excerpts or summaries that do not materially misrepresent its meaning, incorporating it into aggregate ratings or analytics, and using public User Content to promote Nopely. You represent that you have the rights needed to submit the User Content and grant this license. The license may continue as reasonably necessary for backups, fraud prevention, legal compliance, disputes, enforcement, and archival records.
8. Business Profiles and Business Access
Nopely may create Business Profiles using User submissions, information provided through the “Add a business” function, public or licensed information, or information supplied by a Business. Nopely may use automated systems, including AI-assisted tools, to identify possible duplicate listings or assist with Business Profile administration. Automated checks may be incorrect and do not guarantee that a listing is complete or verified.
A Business appearing on Nopely does not necessarily sponsor, endorse, participate in, or have an affiliation with Nopely. Names, trademarks, logos, photographs, and related information may be displayed for identification, commentary, review, comparison, or other lawful purposes.
Where available, an authorized Business representative may request access to a business panel, respond to Reviews, view available analytics, or request correction of factual listing information. Nopely may require verification of authority. Business access does not give a Business ownership of Reviews or the right to remove legitimate criticism. Nopely may change its rating, ranking, scoring, recommendation, analytics, and fraud-detection methods, and results may change as information is added, removed, investigated, weighted, or reclassified.
9. Location-Based Features
You may enter a city, area, or other location when searching, adding a Business, or using other Service features. Approximate Location Information may also be derived from an IP address. If you choose to enable device or browser location access, Nopely may receive more precise Location Information through your device or browser.
Nopely may use Location Information to show nearby Businesses, localize results, identify relevant locations, support Reviews or Business Profiles, prevent fraud or abuse where permitted, or provide other location-based features you request. You can disable device or browser location access through your settings, although some features may no longer work as intended. Location-based results may not always be precise, complete, or current and should not be relied upon for emergency, safety-critical, or navigation purposes.
10. Moderation, Reporting, and Appeals
Nopely may use human review, automated systems, technical signals, fraud-detection tools, and User reports to identify possible violations. Nopely may request information, label or limit content, remove content, restrict features, suspend posting privileges, or suspend or terminate Accounts. Nopely is not required to pre-screen every Review or independently resolve every factual dispute, and moderation does not mean Nopely endorses or verifies User Content.
Content may be reported through the Service or to [email protected]. Legal demands, intellectual property notices, privacy matters, subpoenas, and regulatory matters should be sent to [email protected]. Reports should identify the content at issue and provide enough information to evaluate the complaint. A report does not guarantee removal, and knowingly false or abusive reports may violate these Terms.
Where the European Union Digital Services Act (“DSA”) or another applicable law requires notice-and-action procedures, reasons for qualifying moderation decisions, or an internal complaint process, Nopely will provide those procedures as required. 11. Intellectual Property
Nopely respects intellectual property rights. If you believe User Content infringes your copyright or other intellectual property rights, send a notice to [email protected] identifying the protected work, the allegedly infringing material and its location, your contact information, the basis for the complaint, and your authority to submit it. Notices under the U.S. Digital Millennium Copyright Act (“DMCA”) must satisfy applicable statutory requirements. If Nopely maintains a designated DMCA agent, the legally required agent information will be made publicly available. Nopely may remove or restrict allegedly infringing material and may terminate repeat infringers where appropriate.
12. Platform Use, Third Parties, and Disputes
Unless expressly authorized in writing, you may not systematically scrape, crawl, harvest, extract, copy, or download Service data through automated means; bypass access restrictions; reverse engineer protected portions of the Service except where law expressly permits; collect User information for unsolicited marketing; use Nopely data to build a substantially competing review database or service; or impose an unreasonable load on the Service. Ordinary search-engine indexing authorized by Nopely is not prohibited.
The Service may link to or reference third-party websites, products, advertisements, Businesses, or services. Nopely does not control and is not responsible for third-party content, practices, products, services, or policies merely because they are referenced through the Service.
Nopely is not a party to transactions or disputes between reviewers and Businesses or other subjects of Reviews. Nopely may provide reporting, response, verification, or moderation tools but is not required to mediate or resolve private contractual, refund, product, professional, or other disputes.
13. Service Availability; Disclaimers
Nopely may add, change, suspend, or discontinue features or portions of the Service. To the maximum extent permitted by law, the Service is provided “as is” and “as available.” Nopely disclaims warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, availability, reliability, and other express or implied warranties to the extent permitted by law.
Nopely does not warrant that User Content is accurate or complete, that every false or fake Review will be detected, that a Business will respond to a Review, or that Business, product, location, ranking, or analytics information is current or error-free. Nothing in these Terms limits rights or warranties that cannot lawfully be excluded.
14. Limitation of Liability and Indemnification
To the maximum extent permitted by law, Nopely and those involved in providing the Service will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages; loss of profits, revenue, data, or goodwill; business interruption; or similar loss arising from or relating to the Service.
To the maximum extent permitted by law, total aggregate liability arising from or relating to the Service or these Terms will not exceed the greater of (a) US $100 or (b) the amount you paid directly for the Service during the six (6) months before the event giving rise to the claim. Some jurisdictions do not allow certain limitations, so these limitations apply only to the extent permitted by law.
To the extent permitted by law, you agree to defend, indemnify, and hold harmless Nopely and those involved in providing the Service from claims, liabilities, damages, judgments, losses, and reasonable costs arising from your User Content, unlawful use of the Service, material violation of these Terms, or infringement of another person’s rights. This provision does not apply where consumer law prohibits such an obligation.
15. Suspension, Termination, and Changes
You may stop using Nopely at any time. Nopely may restrict, suspend, or terminate access for violations of these Terms, fraud, manipulation, repeated infringement, security risks, unlawful conduct, attempts to evade enforcement, or legal requirements. Where applicable law requires notice, reasons, or an opportunity to appeal, Nopely will provide them.
Nopely may update these Terms to reflect changes to the Service, law, security practices, or operations. The “Last Updated” date identifies the current version. Where applicable law requires advance notice or additional consent for a material change, Nopely will provide it.
16. Governing Law and U.S. Dispute Resolution
Except where mandatory law requires otherwise, these Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles. Nothing in these Terms deprives a consumer of mandatory protections that apply in the consumer’s place of residence.
For U.S. Users, except for claims eligible for small claims court, claims seeking emergency or provisional injunctive relief, and disputes that applicable law does not permit to be arbitrated, disputes arising from or relating to the Service or these Terms will be resolved through binding individual arbitration under the Federal Arbitration Act. Before arbitration, the complaining party must provide written notice to [email protected] describing the dispute and requested relief and allow at least thirty (30) days for informal resolution. Unless otherwise required, arbitration will be administered by the American Arbitration Association under the rules applicable to the dispute.
To the extent permitted by law, you and Nopely waive the right to have covered disputes decided by a jury and the right to participate in a class, collective, consolidated, or representative action. You may opt out of this arbitration provision by sending notice to [email protected] within thirty (30) days after first accepting these Terms. If arbitration does not apply and applicable law permits selection of a forum, exclusive jurisdiction and venue will lie in the state or federal courts located in Broward County, Florida.
17. International Rights; General Terms
Nothing in these Terms waives rights that cannot lawfully be waived, including mandatory consumer, privacy, digital-service, content-moderation, or dispute-resolution rights. If any provision is unenforceable, it will be enforced to the maximum lawful extent or severed as necessary, and the remaining provisions will remain effective. Failure to enforce a provision is not a waiver. These Terms, the Privacy Policy, and any policies expressly incorporated into them constitute the agreement governing use of the Service.
